Terms & Conditions

These terms govern access to and use of the DrForYou marketing website and hospital management platform. They should be adapted with final legal review before production use.

1. Introduction

These terms govern access to and use of the DrForYou marketing website and hospital management platform. By requesting a demo or using a subscribed deployment, organisations and users agree to these terms and the associated privacy policy.

2. Definitions

  • Platform: the DrForYou Care software, features, APIs, and updates
  • Client: the clinic, hospital, or healthcare organisation subscribing to the platform
  • User: any authorised person using the platform on behalf of a client
  • Patient Data: personal or health information entered into the platform by the client or its users

3. Access & Use

Access is limited, non-exclusive, non-transferable, and intended only for internal healthcare operations during an active subscription. Reverse engineering, unauthorised sharing, unlawful use, or disruption of platform integrity is prohibited.

4. Subscription & Fees

  • Subscription terms, modules, and billing cycle are defined in a signed proposal or order form
  • Fees are generally payable in advance unless otherwise agreed
  • Applicable taxes such as GST are additional unless expressly included
  • Late payment may result in suspension after the agreed grace period

5. Client Obligations

  • Ensure users comply with law, policy, and platform usage rules
  • Obtain required patient consents and guardian approvals where applicable
  • Maintain accurate organisation and user information
  • Revoke access promptly when personnel no longer require it
  • Cooperate during security investigations and breach response exercises

6. Data & Privacy

Patient data remains owned by the client and relevant data principals. DrForYou acts as a processor for client-entered patient records and may use approved sub-processors under equivalent protective obligations.

7. Intellectual Property

DrForYou retains ownership of the platform, software, documentation, design assets, and proprietary processes. Clients receive only the limited right to use the platform during the subscription term.

8. Confidentiality

Each party must protect non-public business, technical, financial, and operational information disclosed by the other, except where disclosure is required by law or explicitly authorised.

9. Warranties, SLA & Disclaimers

DrForYou aims to keep the platform materially aligned with its documentation and protected by reasonable technical and organisational safeguards. The platform supports operations and documentation workflows — it does not replace professional medical judgement or clinical accountability.

10. Limitation of Liability

Liability should be limited to the extent permitted by law, while preserving non-excludable obligations such as fraud, wilful misconduct, and other liabilities that cannot be waived under applicable regulations.

11. Termination

Clients may terminate according to the notice period in their commercial agreement. DrForYou may suspend or terminate for material breach, prolonged non-payment, or service discontinuation with appropriate notice.

12. Force Majeure

Neither party is liable for delays caused by events beyond reasonable control, including infrastructure outages, natural disasters, public emergencies, or government actions.

13. Governing Law & Disputes

These terms are intended to be governed by Indian law, with arbitration and jurisdiction mechanics finalised in the signed legal version for production deployment.

14. Changes to These Terms

Material updates should be communicated to active clients in advance. Continued use after the effective date constitutes acceptance where permitted by law and contract.
